TERMS AND CONDITIONS

Definitions

  • Agreement: The full set of documents governing cooperation between the Client and the Company, including proposals, these Terms and Conditions, and any related materials.
  • Client Content: Any materials or information provided by the Client for use within the Project, including text, images, or documentation.
  • Deliverables: The work or services defined in the Agreement to be provided by the Company.
  • Development Tools: All tools, software, frameworks, source code, systems, and technical solutions created or used by the Company, including structural and functional elements such as layout, navigation, and architecture.
  • Final Deliverables: The completed version of Deliverables delivered to the Client.
  • Project: The agreed scope of work between the Client and the Company.
  • Services: All services provided under the Agreement.
  • Third-Party Materials: External resources such as stock assets or tools used within the Project.

Development Services

The Company shall provide all Services in accordance with the scope, requirements, and milestones defined in the Agreement.

Proposal / Scope of Work

Proposals remain valid for thirty (30) days from the date of issue. If not accepted within this timeframe, the Company may review and revise them before resubmission.

Compensation

  • Additional Costs: Third-party services such as hosting or licensing are billed separately from development fees.
  • Expenses: Approved expenses will be charged at actual cost.
  • Fees: The Client agrees to pay all fees, including applicable taxes, according to the Project plan.

Payment

  • Invoices: Payment is due within five (5) days of invoice issuance unless otherwise agreed.
  • Payment Schedule: Payments must follow the milestone structure outlined in the Agreement.

Changes to Project Scope

  • Change Requests: Any requested changes must be submitted in writing. The Company will respond within five (5) business days with updated cost and timeline details.
  • Minor Changes: Changes that do not significantly impact the scope may be billed at standard rates and may affect delivery timelines.
  • Major Changes: Significant changes require a revised proposal and approval before work continues.
  • Acceptance of Proposals: The Client must approve proposals within fourteen (14) business days.

Delays

  • Client Delays: Delays in providing materials or approvals may result in extensions to project timelines.
  • Company Delays: The Company will notify the Client of any delays caused by internal factors.
  • External Delays: Events beyond the control of either party may affect timelines without constituting a breach of the Agreement.

Evaluation and Acceptance

  • Testing: Deliverables will be tested using reasonable industry practices prior to submission.
  • Approval Periods: The Client is expected to review Deliverables and provide feedback within a reasonable timeframe to allow necessary adjustments.

Client Responsibilities

The Client agrees to:

  • provide accurate and complete materials
  • ensure content is suitable for use
  • respond promptly to communications
  • cover costs related to corrections of provided content

Accreditation and Promotion

The Company may include attribution and reference completed work in portfolios or marketing materials unless otherwise agreed.

Confidential Information

Information shared during the Project that is not publicly available must be treated as confidential and must not be disclosed without consent, unless required by law.

Relationships

The Company operates as an independent contractor and may engage subcontractors while remaining responsible for Deliverables. No partnership or employment relationship is created.

Liability

Services are provided under standard commercial conditions. To the extent permitted by law, the Company’s total liability is limited to the amount paid by the Client for the relevant Services. The Company is not responsible for indirect or consequential damages.

Rights for Work Produced

The Client receives a non-exclusive, worldwide license to use Deliverables as agreed. Ownership of internal tools and development resources remains with the Company.

Support Services

Support may be provided at additional cost unless included in the Agreement. Responsibility is void if the deliverables are modified by third parties.

Amendments

The Company reserves the right to update these Terms at any time. Continued use of the website or services indicates acceptance of the current version.
